1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you ("you," "your," or "User") and KALLOSSTHENOS XFE LLC ("we," "us," or "our"), concerning your access to and use of the www.kalloss.shop website and any related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

5. Services Description and Scope

KALLOSSTHENOS XFE LLC provides computer systems design, integrated systems design, and professional, scientific, and technical consulting services. The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work ("SOW") or service agreement executed between the parties.

Any descriptions of services on the Site are for informational purposes only and do not constitute a binding offer. Formal engagements require execution of a separate written agreement.

6. Fees and Payment

Payment terms for services will be specified in the applicable SOW or service agreement. Unless otherwise agreed in writing:

• Invoices are due within thirty (30) days of the invoice date.
• Late payments may be subject to a service charge of 1.5% per month or the maximum amount permitted by law, whichever is less.
• All fees quoted are exclusive of applicable taxes, duties, or other governmental charges.

7. Confidentiality

Both parties acknowledge that they may receive confidential information from the other party during the course of an engagement. Each party agrees to hold all such confidential information in strict confidence and not disclose it to any third parties, except as required to perform its obligations under the applicable agreement or as required by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall KALLOSSTHENOS XFE LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services, your breach of these Terms, or your violation of any rights of a third party.

10. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including if you breach any of the Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Collin County, Texas.

12. Changes to These Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. Any changes or modifications will be effective immediately upon posting the updated Terms on the Site, and you waive any right you may have to receive specific notice of each such change. Your continued use of the Services following the posting of revised Terms shall indicate your acknowledgment and agreement to the changes.

13. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties or representations about the accuracy or completeness of the Site's content or the content of any websites linked to the Site. We assume no liability for any errors, mistakes, or inaccuracies of content and materials.
